Terms of Service Agreement for Stratford Davis
This Agreement ("Agreement") is entered into between you, the client ("Client"), and Stratford Davis ("Company"), a company incorporated under the laws of Kentucky.
1. Scope
This Agreement governs your use of our sales outsourcing and consultancy services ("Services"). By engaging our Services, you agree to comply with all terms and conditions set forth herein.
2. Service Provision
Stratford Davis specializes in providing expert sales outsourcing services to innovative tech and software companies aiming to expand their global footprint. Our Services include, but are not limited to:
Acting as an extension of your sales force in Europe, the Americas, and Asia Pacific.Offering business development and sales activities tailored to your company's needs.Providing market insights and strategic guidance to facilitate successful market entry.
3. Role of Stratford Davis
While we endeavor to represent your company's interests effectively, Stratford Davis is not involved in the actual transactions between your company and potential clients. Our role is to facilitate introductions and provide support; however, all final business decisions rest with the Client. It is imperative that clients perform their own due diligence when engaging with potential customers or partners.
4. Non-Discrimination Policy

This policy extends to all aspects of our Services, including, but not limited to client selection, service provision, and access to benefits and training.
5. Indemnification
By using our Services, you agree to indemnify, defend, and hold harmless Stratford Davis, its parent corporation, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
i. Your use of and access to the Services
ii. Your violation of any term of this Agreement
iii. Your violation of any third-party right, including without limitation any copyright, property, or privacy right
iv. Any claim that your use of our Services caused damage to a third party
v. Any actions you take based on information or content provided by the Services.
6. Disclaimer of Warranties
Stratford Davis makes no representations about the reliability, timeliness, suitability, or accuracy of the Services or any information made available through the Services, and all such information and Services are provided on an "as is" and "as available" basis.
7. Limitation of Liability
In no event shall Stratford Davis, its officers, directors, employees, or agents be liable for any indirect, punitive, special, incidental, or consequential damage (including but not limited to loss of business, revenue, profits, use, data, or other economic advantage), however it arises, whether in an action of contract, negligence, or other tortious action, arising out of or in connection with the use or inability to use these Services.
8. Modification of Terms
Stratford Davis reserves the right to change these terms and conditions at any time without prior notice. You are responsible for regularly reviewing these terms and conditions.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Kentucky. Any disputes arising out of or related to this Agreement or the Services will be subject to the jurisdiction of the courts of Kentucky.
10. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of this Agreement. This obligation shall survive the termination of this Agreement.
11. Termination
Either party may terminate this Agreement upon (877) 799 39 88 days' written notice. Upon termination, the Client agrees to pay for all Services rendered up to the date of termination.
